Terms and Conditions

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Placemate (“Placemate,” “we,” “us,” or “our”), governing your use of our website and services. By accessing or using Placemate, you agree to comply with and be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you may not use our services.

1. Eligibility

Use of Placemate is limited to individuals who are at least eighteen (18) years of age and otherwise legally capable of entering into binding contracts under applicable law.

2. Scope of Services

Placemate provides a platform for connecting individuals seeking rental housing (“Renters”) with those offering such housing (“Home Providers”). Placemate is not a party to any lease or rental agreement entered into between Renters and Home Providers and shall have no liability or obligations arising from such agreements. Users are solely responsible for complying with applicable laws, regulations, and contractual obligations. We encourage Users to seek independent legal, insurance, and tax advice.

3. Collection and Use of Personal Information

By using our services, you consent to the collection, use, and disclosure of personal information as outlined in our Privacy Policy. This may include, but is not limited to, your name, address, phone number, and email address. By providing your phone number and using Placemate, you consent to receive SMS messages as described in our Privacy Policy. You may opt out at any time by replying STOP or contacting us at hello@placemate.com. For full details on SMS communications, consent, message types, and opting out, please refer to our Privacy Policy.

4. User Conduct and Content Restrictions

Users agree not to post, transmit, or otherwise make available any content that:

  • Is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;
  • Violates the rights of any third party, including intellectual property rights;
  • Contains unsolicited promotional content or spam;
  • Misrepresents the User’s identity or affiliation.

Placemate reserves the right to remove any content that violates these Terms and to suspend or terminate access to the platform.

5. Intellectual Property

Users may not copy, modify, distribute, sell, or lease any part of our services or content without prior written consent. All trademarks, logos, software, and other proprietary materials are the property of Placemate or its licensors.

6. Copyright Infringement – DMCA Notice

If you believe content on our platform infringes upon your copyright, you may submit a notice pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing the following information:

  • A physical or electronic signature of the copyright owner;
  • Identification of the copyrighted work claimed to have been infringed;
  • Identification of the material that is claimed to be infringing;
  • Contact information;
  • A statement of good-faith belief that use of the material is not authorized;
  • A statement made under penalty of perjury that the information provided is accurate.

7. Indemnification

You agree to indemnify, defend, and hold harmless Placemate and its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the services, violation of these Terms, or infringement of any third-party rights.

8. Fair Housing Compliance

Placemate adheres to the principles of the federal Fair Housing Act and does not permit discrimination based on race, color, religion, national origin, sex, disability, familial status, sexual orientation, gender identity, or any other characteristic protected by law.

9. Dispute Resolution and Arbitration

All disputes arising under or related to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Nevada County, California. By agreeing to these Terms, you waive the right to participate in class actions or jury trials.

If any portion of this arbitration clause is found to be unenforceable, the remainder shall remain in effect.

10. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws principles. If arbitration is not enforceable, any litigation must be brought in a court of competent jurisdiction located in Nevada County, California.

11. Disclaimer of Warranties

Placemate provides its services “as is” and “as available,” without warranties of any kind, express or implied. We do not guarantee the accuracy, reliability, or availability of our services and disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12. Force Majeure

Placemate shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, governmental actions, labor disputes, or internet outages.
